The firm's corporate and commercial team has long standing experience dealing with international commercial contracts subject to Swiss and foreign law, advising on the structuring, financing and negotiation of commercial agreements in a variety of contexts including agency, sales and distribution, franchise, license and concession contracts, project development, management services agreements, joint purchasing/selling, joint R&D and technology transfer in a wide range of business sectors.

LALIVE partners regularly contribute their knowledge and experience through publications in the field of Swiss and international contract law and active participation in working and expert groups in this area, including the expert team of the ICC Commission on Commercial Law and Practice (CLP), which develops the ICC Model Contracts in various fields of commercial law, such as the ICC Model Distributorship Contract and the ICC Model International Sale Contract.

  • Advising on the purchase of 100% of the shares in the capital of a Swiss company in the healthcare industry, including overseeing all aspects of the due diligence
  • Advising a leading international cosmetic group in the acquisition of its Swiss distributor, conducting all the relevant operations, including the due diligence and the negotiations of the share purchase agreement, the escrow agreements, the new employment and consultancy agreements, the new distribution and customer arrangements, and providing advice in relation to several post-closing matters
  • Advising a leading international fashion label company in relation to the takeover of Swiss companies, taking responsibility for all legal aspects of the take-over, including the legal due diligence, the drafting and negotiation of an escrow agreement together with the share purchase agreement, and the closing of the transaction
  • Advising a top tier international infrastructure company in relation to the setting up of a permanent establishment in Qatar; specifically dealing with employment, commercial and environmental issues, the negotiation and drafting of a lease agreement
  • Advising a major European rolling stock company in relation to the contractual aspects of a light train passenger project in a Middle Eastern country
